The complaint, filed in San Francisco Superior Court, centers around accusations against Sam Altman, Greg Brockman, and OpenAI for breaching foundational agreements. OpenAI has responded to Musk's lawsuit by releasing a series of emails and statements that shed light on the discussions and disagreements that led to the current legal battle. According to OpenAI, in early February 2018, discussions about the company's structure, specifically moving towards a for-profit model, were part of the contention. Musk had proposed merging OpenAI with Tesla or gaining full control, including majority equity, initial board control, and CEO position, which OpenAI resisted. OpenAI's response highlights Musk's early suggestions to make OpenAI a 'cash cow' for Tesla in late 2018 and his subsequent actions, including starting a competitor and suing OpenAI after it began making progress towards its mission without him. OpenAI intends to dismiss all claims in Musk's lawsuit, challenging his accusations of betrayal and diverging from a non-profit mission for profit.
