Proposed changes in Delaware's corporate laws are causing a stir in the legal community. The Delaware Corporation Law Council is considering revisions to reverse pro-plaintiff decisions disliked by the corporate bar. These changes could impact derivative actions and standing for creditors' committees in Delaware LLCs.
So what are all the decisions of Delaware courts that have been essentially overruled by Delaware legislation? Van Gorkom and ATP Tour come to mind. Anyone have examples or a complete list?
