MFE-Mediaset, controlled by Italy's Berlusconi family, has launched a voluntary takeover bid for Germany's ProSiebenSat.1, aiming to increase its stake in the German media group from 29.9%. The offer is set at a price of approximately 5.7 euros per share, which is the 3-month average price and below the current market value of ProSieben shares. The move is part of MFE's long-term strategy to build a pan-European broadcaster, as stated by Pier Silvio Berlusconi, CEO of MFE-Mediaset. He emphasized the need for a change of pace and the importance of strengthening MFE's role as an industrial partner to support and sustain ProSieben 'before it is too late'. MFE has secured a binding agreement with an existing shareholder to ensure it will hold more than 30% of ProSieben's share capital following the offer. The payment structure includes 78% in cash and 22% in new MFE 'A' shares. This acquisition is seen as a step towards creating a cross-media, cross-national group that can compete with digital giants.
