Amphenol Corp. agreed to acquire CommScope Holding’s Connectivity and Cable Solutions business for $10.5 billion in cash, marking the largest purchase in the fiber-optic connector maker’s history. The unit supplies broadband connectivity and cable products used in data centers and communications networks, markets that are expanding rapidly as artificial-intelligence workloads drive demand for high-speed infrastructure. The CCS division is expected to generate about $3.6 billion of sales and deliver a 26 percent EBITDA margin in 2025, according to Amphenol. The company said the transaction will be accretive to diluted earnings per share in the first full year after closing, which is targeted for the first half of 2026 pending regulatory approvals. Amphenol plans to fund the acquisition with existing cash and new debt, backed by financing commitments from J.P. Morgan Securities, BNP Paribas and Mizuho Bank. The Wallingford, Connecticut-based company has acquired several CommScope assets in recent years, including the Andrew mobile-networks business for about $2 billion earlier in 2025. CommScope, headquartered in North Carolina, will use the proceeds to pay down its roughly $9.4 billion debt load and redeem preferred equity held by Carlyle, leaving the company with additional liquidity to support its remaining businesses. Investors welcomed the deal: CommScope shares jumped nearly 80 percent in pre-market trading, while Amphenol rose about 4 percent.
