DeFi Development, Formerly Janover, Withdraws $1 Billion SEC Filing Over Missing Internal Controls Report, Plans Solana Purchase and Refiling

DeFi Development, formerly known as Janover, has withdrawn its $1 billion Form S-3 registration statement after the U.S. Securities and Exchange Commission (SEC) deemed the filing ineligible due to the absence of a required internal controls report in its Form 10-K. No securities were issued during this process. The company had planned to use part of the proceeds from the offering to purchase Solana (SOL) as part of a strategic treasury reserve. DeFi Development intends to refile the registration in the future. The withdrawal follows SEC comments highlighting the missing internal controls report, which is a mandatory disclosure for such filings.

https://t.co/Y9C4ASC6zy
