Tesla Inc. said in a Securities and Exchange Commission filing on Thursday that it will hold its 2025 annual shareholder meeting on Nov. 6, ending weeks of uncertainty over the timing of the event. The decision came a day after 27 large investors wrote to the board, warning that Tesla risked breaching Texas corporate law, which requires companies to hold an annual meeting within 13 months of the previous one. Tesla’s last meeting occurred in June 2024, leaving a statutory deadline of July 13. The filing also sets a July 31 cut-off for shareholders to submit proposals for inclusion in the proxy statement. Governance questions are expected to dominate the agenda, including renewed scrutiny of Chief Executive Officer Elon Musk’s compensation and the planned integration of the Grok artificial-intelligence chatbot—developed by Musk’s xAI startup—into Tesla vehicles. Tesla shares rose about 3% in early trading after the announcement but remain roughly 38% below the record high reached in December, reflecting investor concern over slowing sales, the phase-out of U.S. EV tax credits and Musk’s expanding political and business ventures.
