US Foods Holding Corp. is exploring a takeover of Performance Food Group Co., according to people familiar with the matter. A merger of the two Richmond, Virginia-based distributors would create a company generating roughly $100 billion in annual sales, making it one of the largest suppliers of food and related products to restaurants, hospitals and other institutions in North America. The discussions are at an early stage and may not result in a transaction, the people said. Financial terms under consideration were not disclosed. Any agreement would face regulatory scrutiny given the companies’ overlapping customer bases and the food-distribution sector’s recent consolidation.
