Database software provider Couchbase Inc. said it has agreed to be acquired by technology-focused private equity firm Haveli Investments in an all-cash transaction valued at roughly $1.5 billion. Haveli will pay $24.50 a share, representing a 67 percent premium to Couchbase’s closing price on 27 March, the last full trading day before Haveli first disclosed an investment in the company, and a 29 percent premium to the stock’s 18 June close. The agreement allows Couchbase’s board to solicit superior proposals during a "go-shop" period that runs through 23 June 2025. If completed, the deal will take the Santa Clara-based company private, positioning it to accelerate product development for enterprise customers building high-performance applications, particularly those tied to artificial-intelligence workloads. Completion is expected in the second half of 2025, pending approval from Couchbase shareholders and customary regulatory clearances. The company said it does not intend to provide further updates on the go-shop process unless its board accepts a higher bid.
