Microsoft Corp. is in advanced negotiations with OpenAI to rewrite their partnership so the software maker retains access to OpenAI’s latest artificial-intelligence models even if the startup declares it has achieved artificial general intelligence (AGI), according to people familiar with the talks. The existing agreement, forged in 2019 and running until 2030, would strip Microsoft of some rights to OpenAI technology once an AGI milestone is reached. That clause has become a strategic concern for Microsoft, whose $13.75 billion investment underpins products such as Azure OpenAI Service and the Copilot assistants in Windows, Office and GitHub. The discussions—described as weeks from completion—are tied to OpenAI’s plan to convert into a more traditional for-profit entity. Negotiators are weighing an equity stake for Microsoft in the low- to mid-30% range while addressing governance, safety and antitrust issues. Although regulatory scrutiny and a lawsuit filed by early backer Elon Musk remain potential hurdles, a revised pact would clear a key obstacle to OpenAI’s restructuring and secure Microsoft’s long-term AI roadmap.
