NICE Ltd has signed a definitive agreement to acquire Cognigy, a Düsseldorf-based developer of conversational and agentic artificial-intelligence software, in a deal valuing the target at about $955 million in cash and shares. The transaction will merge Cognigy’s AI agent platform with NICE’s CXone Mpower suite, a move the Israeli customer-experience company says will speed the shift to “AI-first” service across front- and back-office operations. NICE plans to fund the purchase from existing cash and expects the deal to close in the fourth quarter of 2025, pending regulatory approvals. Cognigy’s technology, used by enterprises such as Mercedes-Benz and Nestlé, supports more than 100 languages and is projected to deliver roughly 80% growth in annual recurring revenue in 2026. The takeover is the first major acquisition under Chief Executive Officer Scott Russell. NICE shares rose about 6% in Tel Aviv and U.S. pre-market trading following the announcement.
