Trump Media & Technology Group Corp. has joined forces with blank-check company Yorkville Acquisition Corp. and Crypto.com to establish Trump Media Group CRO Strategy, Inc., a digital-asset treasury vehicle focused on the Cronos (CRO) blockchain. The partners said they have signed a definitive merger agreement that values the planned treasury at about US$6.42 billion. Initial funding is expected to include roughly US$1 billion worth of CRO tokens, US$200 million in cash and US$220 million from the mandatory exercise of warrants. An affiliate of Yorkville has also provided a US$5 billion equity line of credit, which the parties say would give the venture one of the largest publicly traded crypto treasuries relative to market capitalization. The company intends to accumulate up to 19% of CRO’s circulating supply and operate a validator node on the Cronos network. Trump Media will purchase US$105 million in CRO, while Crypto.com will invest US$50 million in Trump Media stock. Cronos will become the utility and rewards token for Trump Media’s Truth Social and Truth+ platforms, which will integrate Crypto.com’s digital-wallet infrastructure. Investors welcomed the announcement: DJT shares climbed as much as 6% in pre-market trading, and CRO jumped about 25% to US$0.197, lifting the token’s market value to roughly US$6.6 billion. Yorkville plans to change its Nasdaq ticker to “MCGA” ahead of the business combination. The transaction still requires approval from Yorkville shareholders and regulators. Yorkville said it will file a Form S-4 with the U.S. Securities and Exchange Commission detailing the proposed deal and related risk factors.
